SECTION 7 – SUBSCRIPTIONS, BILLING AND CANCELLATION

If you purchase a subscription product, you agree to recurring billing. Your subscription will automatically renew at the then-current subscription rate and continue until you cancel it. By initiating a subscription, you authorize FaceFrame Labs, Inc. to charge your chosen payment method for all recurring charges, including applicable taxes, until the subscription is terminated.

Billing Cycle: The subscription fee will be charged on a recurring basis according to your chosen renewal term (e.g., monthly, every 60 days).
Price Changes: We reserve the right to modify the subscription price. We will notify you of any price changes at least thirty (30) days prior to the billing date of the affected charge.
Cancellation: You may cancel your subscription at any time through your customer account portal on our website. Cancellation requests must be received at least 48 hours prior to your next scheduled billing date to avoid being charged for the next cycle.
Refunds: Subscription fees are non-refundable, except as expressly provided in our Refund Policy or required by law.

Mandatory Arbitration: You and FaceFrame Labs, Inc. agree that any dispute, claim or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation or validity thereof or the use of the Service or products (collectively, “Disputes”) will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court.

Class Action Waiver: You and FaceFrame Labs, Inc. agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and FaceFrame Labs, Inc. agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Waiver of Jury Trial: You and FaceFrame Labs, Inc. also hereby waive the right to a jury trial.

SECTION 14 – GOVERNING LAW AND JURISDICTION

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of New York State, without regard to its conflict of laws principles.

Severability: In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

B. Entire Agreement: These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
